Weekly collection of transactions (April 22 - 28)

• CIE AUTOMOTIVE, Global supplier of components, assemblies and sub-assemblies for the automotive market has acquired the automotive component manufacturer AKT Plastics. Through this acquisition, CIE increases its production capacity in the plastics segment as well as its presence in the Volkswagen Group. We at Albia IMAP advised AKT. 🎉1

• Spanish Private Equity Nexxus Iberia has acquired a majority stake in Creaciones Marsanz, a Madrid-based company specialising in the manufacturing and marketing of commercial equipment for retailers such as Mercadona, DIA or El Corte Inglés.2

• Bianna, a Catalan company specializing in waste treatment equipment, has opened its shares to Miura Partners to accelerate growth. Through Miura’s impact fund, a 20% stake was acquired following a capital increase. With Miura’s support, Bianna will launch Bianna Renting Services, offering comprehensive rental of its equipment and facilities, easing access to its technology. 3

• Sherpa Capital acquires the INV group companies and enters the security sector. INV Protection specializes in alarm installation and maintenance services for individuals and companies, and has a portfolio of 25,000 connections between residential and corporate clients. For its part, INV systems focuses on the design, engineering and installation of security systems for energy projects, data centers, the tertiary sector and critical infrastructures. 4

• Ayesa acquired Emergya, a Google’s leading partner in Spain. Founded in 2003 and headquartered in Seville, Spain, Emergya employs more than 680 professionals. In addition to developing digital cloud-based products, Emergya specialises in large-scale technology transformations and managed services. 5

• Lemnos Capital has acquired 100% of the Guipuzcoan company Cartonajes Limousin. Located in Tolosa where it was founded more than 100 years ago, Cartonajes Limousin is dedicated to designing and manufacturing corrugated cardboard containers and packaging. 6

• Borges Agricultural & Industrial Nuts sells its agricultural division to the Natural Capital Fund. The assets, which include the listed companies in Andalusia and Extremadura and the business in Portugal, will be transferred for between 70 and 80 million euros. 7

• Plukon Food Group has acquired 100% of the shares of Sambau, a distributor and processor of poultry products in Madrid. Sambau is a family-owned poultry business founded in 1986. The company is specialized in serving the traditional Spanish poultry market, with core activities encompassing processing and distribution of chicken. Sambau employs 56 employees and achieved a revenue of approximately EUR 21 million in 2023. 8

• Arla Plast has acquired Nudec. Nudec was founded in 1980, has 110 employees, and is based north of Barcelona, Spain. Nudec is a supplier and manufacturer of extruded sheets in technical plastic materials and also a supplier of PMMA sheets to the Arla Plast Group. For 2023, the net sales amounted to EUR 58.9 million. 9

• IMCD, a distributor of speciality chemicals and ingredients, announced that IMCD Spain has signed an agreement to acquire 100% of the shares in Cobapharma, a European distributor in the pharmaceutical and nutraceutical industry. 10
