Weekly collection of transactions (June 30 - July 6)

• Clio, provider of legal technology, announced it has signed a definitive agreement to acquire vLex (Oakley Capital), a pioneer in legal intelligence that combines cutting-edge AI with the world’s most comprehensive global legal research platform. The transaction is valued at US$1 billion and will be paid in a combination of cash and stock.1

• Namirial and Signaturit, both leading European providers of Digital Transaction Management (“DTM”) software solutions backed by Bain Capital and PSG Equity respectively, have today entered exclusive negotiations for Signaturit to join the Namirial Group. Founded in 2013 in Spain, and backed by PSG since 2020, Signaturit is one of the leading providers of cloud-based DTM services in Southern Europe, offering solutions across digital identity management, Digital Signature, KYC & fraud prevention, and eID wallet. 2

• Bechtle has acquired the Spanish IT service provider Grupo Solutia, headquartered in Seville with additional offices in Madrid and Murcia. Founded in 2005, Grupo Solutia is well established in the public sector. The company generated nearly 100 million euros in revenue in the past financial year and currently employs 637 people across Spain with a broad and diversified IT services team. With this acquisition, Bechtle is increasing its team in Spain fivefold and significantly expanding its capabilities in workplace solutions, software development, and IT services. 3

• Progress Software (Nasdaq: PRGS), AI-powered digital experience and infrastructure software provider, announced the acquisition of Nuclia, an innovator in agentic Retrieval-Augmented Generation (RAG) AI solutions. Nuclia provides a unique agentic RAG-as-a-service product enabling organizations to automatically leverage their own proprietary business information to retrieve verifiable, accurate answers using GenAI. 4

• U.S.-based Apollo has acquired a 30% stake in Spanish sportswear e‑commerce platform TradeInn, purchasing shares from Suma Capital and other minority investors for approximately €200 million, valuing the company at over €700 million. TradeInn, founded in Girona by CEO David Martin, reported €554 million in 2024 sales, 85% from outside Spain, and offers 3.5 million products from 12,500+ brands across 18 sports categories in 190+ countries. 5

• Safe Life, a leading global provider of public access life-saving solutions, announces that Salvavidas Cardio, is joining the group. Salvavidas, based in Madrid, is a leader in the growing Spanish market for automated external defibrillators (AEDs). Founded in 2019, Safe Life is a group of companies focused on delivering life-saving equipment and training. With a core focus on AEDs, Safe Life has rapidly expanded across Europe and North America through a series of successful acquisitions, supporting a shared vision of safer communities everywhere. 6

• Spanish private equity firm Corpfin Capital has acquired a stake in Barcelona-based Grupo Montplet, a fifth-generation family-owned business specializing in ethanol-based products. CEO Vanessa Monfort, who previously held 100% ownership, will remain a key shareholder. Founded in 1889, Montplet operates through two divisions: Alcoholes Montplet (ethanol solutions for pharmaceuticals, chemicals, and perfumery) and Laboratorios Montplet (disinfectants, pesticides, and cosmetics). The investment aims to accelerate product development, international expansion, and team growth. Montplet, active in 25 countries, has €100 million in annual revenue and 100 employees. 7

• European Camping Group (ECG), a European player in outdoor accommodation, has successfully completed the acquisition of Alannia (Corpfin Capital), Spain’s largest operator of large-scale camping resorts. The deal enables ECG to expand into the Spanish market under the Alannia brand, adding a network of sites that offer nearly 1,000 accommodations and 1600 pitches. Alannia’s resorts will join ECG’s portfolio, which spans 13 European countries and includes more than 450 destinations. Alannia was founded in 1997 by Alicante-based Grupo Marjal, owned by the Fur and Gómez families. 8

• Palex acquired Portuguese orthopedic distributor A Salgado Distribuição, with approximately €7 million in sales and a team of over 200 in Portugal, further expanding its in‑country presence. Backed by Apax Partners and Fremman Capital, the Spanish company now operates across several European markets and aims to reach €1 billion in sales and 2,100 employees by year‑end. 9

• London-based Cheyne Capital’s Strategic Value Credit arm has taken a majority stake in Educa Borrás, the historic Catalan manufacturer behind the classic games “El Lince” and “Magia Borrás”. The deal includes debt restructuring with prior lenders’ collaboration and retains Educa Borrás’s executive team in operational roles. The company’s 2024 revenues reached approximately €30 million, with an EBITDA of €3 million—down from €40 million in 2022.10
