Weekly collection of transactions (September 9 - 15)
• GMV acquired 100% of Autek, a leading Spanish company in Cross-domain systems. As a result of this agreement, Autek will be integrated into GMV’s group of companies. Autek’s current management team will lead the Cross-domain area within GMV on a global level. With 25 years of experience, Autek has established itself as a reference in the development of Cross-domain products, systems, and solutions, which enable the secure exchange of information between different domains based on predetermined security policies, without compromising data security. These solutions are essential in complex military systems and in any systems requiring high levels of security, whether in the space sector, such as the Galileo satellite navigation system, or in the security sector, such as applications for critical infrastructure protection.1
• Italy-based Sesa (SES.MI), a leading player in technological innovation and digital services for the business sector, with around €3.2 billion in consolidated revenues and 5,700 employees, has acquired, through Var Group, Boot Systems and LBS Serveis, reinforcing its experience in the professional consulting and cloud computing sector in the Spanish market. Boot Systems, based in Barcelona and active in the Spanish market, and LBS, which operates in the Andorran market, are companies specialised in offering consulting and professional solutions in the area of Cloud Computing and Data Center, with a focus on Oracle and Dell technologies and around 20 qualified resources. The two companies together have developed revenues of around €5.5 million and an EBITDA of around €400 thousand in the 2023 financial year, with sustainable future growth objectives. 2
• Cantabria Labs, a pharmaceutical company specialising in dermatology, has signed an agreement to sell 100% of its subsidiary Nutrición Médica to ProA Capital, according to market sources consulted by EXPANSIÓN. Nutrición Médica specialises in the manufacture and marketing of nutritional formulas for patients with specific nutritional needs, chronic diseases, malnutrition and certain hospital treatments. 3
• DGH joins GROUPE ADF. DGH Group thus joins an international group with extensive technological experience in the operation of smart and connected factories and with which it shares the same vision on robotics and automation, based on collaboration, intelligence and creativity. Both companies have already been working together since 2017 through a joint venture for maintenance contracts at AIRBUS, so the integration has been a further step. 4
• PHI Industrial, private equity firm backing companies such as Lladró and Café & Té, continues diversifying its portfolio in the industrial area with the acquisition of Teknicalde from the founding family. Teknicalde is a leading company in the area of metal transformation, with great influence in the north of Spain and with a very diversified range of products and clients. 5
• ISS Spain, a market leader in integration services, has taken an important step in its expansion strategy by acquiring Grupo BN, a company specialising in cleaning and outsourcing services. This transaction, which is part of the “OneISS” strategy, will allow the Spanish subsidiary of the Danish multinational to further strengthen its global leadership position in the cleaning sector. The acquisition of Grupo BN is part of ISS Spain’s “OneISS” strategy, which aims to “strengthen its global leadership in the cleaning sector. This transaction comes after the acquisition of Grupo Fissa, carried out in 2023, and is part of the company’s efforts to consolidate its market position. ISS Spain, which was founded in 1999, closed the 2023 financial year with a turnover of 599 million euros. 6
• The French company Moria has closed an agreement to acquire 100% of OftalTech Solutions, a company focused on the marketing and distribution of ophthalmological products in Spain and Portugal. The purchase by the French business group, which is a global player in the manufacturing and sale of equipment and instruments for eye surgery, will allow OftalTech Solutions to have the financial muscle to continue driving its growth. OftalTech Solutions closed the last financial year with an EBITDA of 1.7 million euros. 7
• 52 Entertainment (Groupe HLD), the global leader in community games (bridge, e-sailing) and casual games (dominos, spades, yatzy, baloot, belote, tarot, and more), has further expanded its presence in the gaming industry through the acquisition of Blackout, a renowned casual games studio based in Barcelona. Blackout, known for its expertise in casual games. • ProductLife Group (PLG), a global provider of regulatory, scientific, compliance, and digital transformation consulting services for the life sciences industry, acquired Outcomes’10, a premier Spanish life sciences consultancy providing patient access and evidence generation services. Founded 15 years ago, Outcomes’10 is a trusted partner for its comprehensive and reliable Spanish market access services, including pricing & reimbursement, health economics and outcomes research, as well as real world data generation. 9
• The company Supermercados El Jamón has become the owner of Supermercados CODI. The 26 supermarkets have a total store area of 21,322 m², which added to the current area of the group reaches 211,000 m² and a total of 292 stores, of which 115 are in Huelva, 92 in Seville, 56 in Cadiz, 17 in Malaga, seven in Cordoba and five in Granada.10
