• The Kardham Group, an independent and integrated player in the professional real estate market, announces the acquisition of Seventy Eight, a Spanish company specializing in Design & Build for the luxury, retail and hospitality sectors. This new step will enable Kardham to accelerate its European expansion strategy, which began in 2019, and to emerge in high-growth segments. ← Albia IMAP acted as GROUPE KARDHAM’s M&A Advisor!1

The Riverside Company, a global investment firm focused on the smaller end of the middle market, has announced that an affiliated European fund has invested in a controlling stake of Essential Compositions, a fast-growing developer and manufacturer of fragrances. Founded in Gandía, Spain, in 1980, Essential Compositions is dedicated to the creation and production of fragrances for end markets such as perfumery, personal care, air care, and home care. The company sells most of its products directly to 250 customers across more than 40 countries globally. 2

• Italian IT services and solutions provider Lutech (Apax) announced the acquisition of SAPIMSA and Netinex, Spanish companies based in Madrid and Oviedo, with more than 100 employees and 10 million in revenue, are leaders in consulting and implementation of business management solutions and SAP Gold Partners. With specific expertise in Machine Learning, Internet of Things (IoT) and Advanced Analytics, SAPIMSA and Netinex strengthen Lutech’s presence in the Iberian market, which began with the opening of Lutech Spain a year ago. 3

Sagardoy Abogados has partnered with Ufenau Capital Partners, a Swiss private equity firm to accelerate its growth. Carrillo Asesores, a multidisciplinary law firm based in Murcia, also joins the alliance, creating a national platform for legal services. The deal includes Sagardoy Legal & Expat, specializing in expatriate management, while Sagardoy Business & Law School remains focused on professional training. The agreement, involving equity exchanges, aims to expand resources, enhance technological innovation, and strengthen expertise without altering the management of either firm. Ufenau, managing over €3 billion in funds, has invested in over 400 European service companies, including more than 30 in Spain since 2021. 4

Suma Capital has acquired a stake in NaviLens, a pioneering company in accessible signage solutions for visually impaired individuals and other groups. This agreement will enable NaviLens to expand its technology to more cities and sectors, improving global accessibility and inclusion. Its scannable code system, equipped with innovative features like long-distance readability and wide-angle detection, is also beneficial for individuals with cognitive or hearing disabilities, the elderly, or those facing language barriers, creating a more inclusive and accessible environment. 5

Talde Private Equity and KCE have sold their stake in Cacesa to CTT Group, a leading last mile e-commerce company in the Iberian Peninsula. Talde Private Equity and KCE, entered Cacesa’s capital at the end of 2021 with the aim of fostering the company’s development and consolidating its international expansion, mainly in the European Union and neighbouring countries such as the United Kingdom, Turkey and Serbia. 6

ABE Capital invests in SaveFamily, a leader in innovation wearable technology for families. Founded in 2018 by Jorge Álvarez (CEO) and Natalia Expósito (COO), SaveFamily is at the forefront of designing and marketing GPS-enabled smartwatches and other electronic devices for children and seniors. These devices offer a unique blend of safety, connectivity, and entertainment through features such as location tracking, SOS buttons, and voice and video communication. 7

Hyperion Materials & Technologies (KKR), a leading global materials science company specializing in advanced hard and super-hard materials for various industries and applications, has announced an agreement to acquire TEMSA Transformaciones y Estudios Metalúrgicos SL, along with its sister companies PLUSDUR SL and METADUR SL. These Barcelona-based companies specialize in manufacturing high-precision tooling for wear applications, including cold forming, powder metallurgy compacting, and deep drawing. 8

Siemens Gamesa has reached an agreement to sell its power electronics business to ABB. The business – part of Gamesa Electric – designs and manufactures converters, inverters and control cabinets for wind, solar and storage industries. The generators business of Gamesa Electric is not included in the agreement and remains with Siemens Gamesa. The agreement includes the transfer of around 400 employees, two manufacturing plants located in Spain, as well as additional assets in the US, China, India and Australia. As part of the transaction, both companies have entered a long-term collaboration agreement through which ABB will provide power electronics to Siemens Gamesa turbines, both onshore and offshore. 9

Adlanter (Artá Capital), a leading Spanish business advisory firm, has acquired Quantum Asesores, the advisory arm of the law firm Toda & Nel-lo. This acquisition is part of Adlanter’s growth strategy, initiated in 2022 with the backing of Artá Capital, focusing on both organic and inorganic expansion through selective investments and acquisitions. The firm plans to execute around 25 acquisitions, aiming to surpass €100 million in revenue within three to five years. 10
